ICON Corporate Finance advises Paperbox on its acquisition by Adlib
22.09.2026
Tech M&A adviser ICON Corporate Finance has advised insurance-first agentic AI intake platform Paperbox on its acquisition by Adlib, the evidence layer for AI agents in regulated industries.
Paperbox, headquartered in Ghent, Belgium, provides an agentic AI-powered intake platform that enables insurance carriers and brokers to classify, extract and route inbound communications into structured cases and workflows.
Texas-based Adlib is the evidence layer for AI agents in regulated industries. Adlib sits between inbound content and the agents, models and workflows that act on it, so every output an AI system produces carries a confidence score, a traceable source and a governance trail.
Paperbox uses agentic AI to turn inbound email, portals, and attachments into structured tasks and cases the moment they arrive. Adlib turns what’s inside those documents into governed, audit-ready data, with every extracted value linked back to the source. Together they move a carrier from a full inbox to data an auditor can stand behind.
“Paperbox was built to remove friction at the very start of the insurance value chain. Carriers, MGAs, and TPAs all carry the same problem: the inbox is the queue, and everything downstream inherits whatever came through it. Joining Adlib means what reaches an adjuster is accurate and audit-ready before a person ever sees it. That is the part our customers kept asking us for, and it was never something we were going to build alone.
“Eddie and the ICON team have been an outstanding support throughout the deal process. Their sector expertise, international reach and commitment to understanding our business has helped us to secure the ideal strategic partner and navigate every stage of the transaction with confidence.”
Frederic Stallaert
CEO of Paperbox
“It’s been a pleasure to work with Frederic and the Paperbox team, who’ve developed a platform that addresses a significant operational challenge facing the insurance industry. This transaction reflects the growing demand for vertical AI businesses that combine deep domain expertise with the governance and accuracy required by regulated industries. We really enjoyed working closely with the management team on this mandate and following a very competitive process we’re delighted to have identified Adlib to deliver this highly strategic transaction.”
“Nearly every insurer now has an AI governance policy on paper. Far fewer can prove the data behind it holds up. That gap is the difference between a pilot and a production system in a regulated industry. Paperbox understands the work well enough to get it to the right person the moment it arrives. Adlib makes sure the data behind that work can answer to an auditor. Our aim is to put that within reach of regional carriers, MGAs and TPAs, not only the ones with the staff to build it themselves.”
Chris Huff
CEO of Adlib
The transaction further strengthens ICON’s track record advising high growth AI software businesses, following recent transactions including MaxOptra, Phonexia and ROI Hunter.
